BabyCities Terms and Conditions

Effective on April 1, 2023

Our mission is to make parents' lives easier while they are out and about with their young children. BabyCities aims to become the app to consult for parents on the go. We promote the exchange of information within the community of parents to build up an invaluable database of family-friendly locations and amenities, all accessible at the touch of a button.

1. Introduction

When you use our Services you agree to these Terms and to our Privacy Policy, which explains how we collect, use, share and store your personal information. If you do not agree to this User Agreement, do not use the App or our Services. You may terminate this contract at any time by closing your account and no longer accessing or using our Services.

This contract applies to the BabyCities app, related communications and any other services offered under it. Registered users are Members and unregistered users are Visitors. You are entering into this Contract with BabyCities Sarl.

We may modify these Terms and our Privacy Policy from time to time. If we make material changes, we will provide notice through our Services or by other means before the changes become effective. Continued use of our Services after that means you agree to the updated terms.

2. Obligations

Members are account holders and agree to keep their password confidential, not transfer any part of their account, and use the App only lawfully and for its intended purpose. You are responsible for activity that happens through your account unless you close it or report misuse.

You agree that we may provide notices and messages through the Service or through the contact information you provided, such as your email address. You are responsible for keeping that information up to date.

When you share information on our Services, others may be able to see, copy and use that information. We may remove content that is abusive, false, harmful or otherwise inappropriate.

3. Rights and Limits

You own the content, feedback and personal information you provide to BabyCities, but you grant us a non-exclusive, worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish and process that content in connection with our Services.

You can end this license for specific content by deleting that content from the Services, or generally by closing your account, except where it has already been shared, copied, re-shared or stored by others, or where time is reasonably needed to remove it from backups and other systems.

You promise to provide only information and content that you have the right to share, that does not violate the law or anyone else's rights, and that your profile information will be truthful.

We may change, suspend or discontinue any of our Services. BabyCities is not a storage service and we do not promise to store or keep showing any information or content that you or others have posted, except where required by applicable law.

Others may provide content or services through BabyCities. We are not responsible for third-party content, inaccuracies, misuse of the Services, or services offered by Members. BabyCities also reserves the right to limit, restrict, suspend or terminate accounts that breach these Terms or the law.

BabyCities reserves all intellectual property rights in the Services, including its trademarks, logos, graphics and technology.

4. Disclaimer and Limit of Liability

To the fullest extent permitted by applicable law, BabyCities provides the Services on an "as is" and "as available" basis and makes no representation or warranty regarding the quality, safety, reliability, uninterrupted availability or error-free functioning of the Services.

To the fullest extent permitted by law, BabyCities and its affiliates will not be liable for lost profits, lost business opportunities, loss of reputation, loss of data, or any indirect, incidental, consequential, special or punitive damages.

Unless a separate written agreement states otherwise, BabyCities' liability in connection with this contract will not exceed the total fees paid or payable by you to BabyCities for the Services during the term of this contract, or CHF 1000 if no fees apply.

5. Termination

Both you and BabyCities may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services. Certain rights and obligations survive termination, including our rights to use your feedback, rights relating to content already shared, and any amounts owed before termination.

6. Governing Law and Dispute Resolution

The laws of Switzerland govern claims related to BabyCities' provision of the Services, without depriving you of mandatory consumer protections that apply where you habitually reside. Disputes may be resolved in the courts of the country to which we direct our Services where you have habitual residence, or alternatively in the courts of Lausanne, Switzerland.

7. General Terms

If any part of this Contract is found unenforceable, the remaining provisions remain in effect. This Contract is the entire agreement between you and BabyCities regarding the Services and supersedes prior agreements relating to them. If we do not enforce a breach, that does not mean we waive our right to do so later.
